Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Priya
Agency Trio platform ("the Service") operated by Priya Agency
("we", "us"). By creating an account or using the Service, you agree to these
Terms.
1. The Service
The Service is a multi-tenant business AI platform combining marketing automation,
customer engagement, channel management (Facebook, Instagram, WhatsApp, email),
and operational intelligence. The Service is provided on a subscription basis
to registered businesses ("Tenants").
2. Eligibility
- You must be at least 18 years old
- You must be authorized to bind the business you register on its behalf
- You must comply with all applicable laws of India and any other jurisdiction in which you operate
- You must not be barred from using the Service by Meta Platform Terms, WhatsApp Business Terms, or other connected-platform policies
3. Your Account
- You are responsible for maintaining the confidentiality of your credentials
- You will notify us immediately of any unauthorized access
- You are liable for all activity that occurs under your account
- One business per tenant; sharing accounts across businesses is not permitted
4. Acceptable Use
You agree NOT to use the Service to:
- Send spam, unsolicited bulk messages, or violate any anti-spam laws
- Impersonate any person or business
- Engage in deceptive, fraudulent, misleading, or unlawful activity
- Upload or distribute malware, illegal content, or content that infringes intellectual-property rights
- Reverse-engineer, decompile, or attempt to extract source code from the Service
- Probe, scan, or test the vulnerability of the Service without prior written authorization
- Circumvent any rate limit, security feature, or access control
- Use the Service to compete with Priya Agency or to build a competing service
- Violate Meta's Platform Terms, WhatsApp Business Terms, Google API Services User Data Policy, or any other connected-platform policy
5. AI Agent Use (Vikram, ARIA)
- You acknowledge AI-generated suggestions and drafts may contain errors and require human review
- You are responsible for the final content sent on your behalf
- You agree not to instruct AI agents to produce illegal, deceptive, or platform-policy-violating content
- Default policy: AI drafts require human approval before sending. You may opt into limited auto-send for low-risk message types — you assume all responsibility for auto-sent content
6. Connected Platforms
When you connect a Meta, WhatsApp, Google, or other third-party account to the
Service, you authorize Priya Agency to access and act on that account on your
behalf within the scopes you grant. You may revoke this authorization at any
time by disconnecting from your account settings, which immediately invalidates
the relevant access tokens. You remain bound by the terms of those third-party
platforms while using their APIs through the Service.
7. Subscription & Fees
- The Service is offered on monthly or annual subscription tiers — current pricing is published on the platform website
- Fees are payable in Indian Rupees (INR) plus applicable GST
- Paid messaging (Meta Marketing Messages, WhatsApp marketing conversations) is billed by the platform provider directly to your account; we do not mark up these fees
- Subscription fees are non-refundable except where required by law
- We may change fees with 30 days' written notice
8. Intellectual Property
- The Service, software, and all related materials are owned by Priya Agency and protected by intellectual-property laws
- You retain all rights to your content (posts, messages, business data) — you grant us a limited license to process this content solely to deliver the Service
- You may not copy, modify, redistribute, or create derivative works of the Service
9. Privacy
Your use of the Service is also governed by our Privacy Policy,
which is incorporated by reference into these Terms.
10. Disclaimer of Warranties
The Service is provided "as is" and "as available".
We disclaim all warranties, express or implied, including merchantability,
fitness for a particular purpose, and non-infringement, to the maximum extent
permitted by law. We do not guarantee the Service will be uninterrupted,
error-free, secure, or that AI suggestions will be accurate.
11. Limitation of Liability
To the maximum extent permitted by law, Priya Agency's aggregate liability for
any claim arising from or related to the Service is limited to the fees you
paid to us in the 3 months preceding the event giving rise to the claim. We
are not liable for indirect, incidental, special, consequential, or punitive
damages, including loss of profits, revenue, data, or goodwill.
12. Indemnification
You will indemnify and hold harmless Priya Agency from any claim, loss, or
liability arising from your use of the Service, your violation of these Terms,
your violation of any third-party platform's terms, or any content you post or
transmit through the Service.
13. Suspension & Termination
- You may terminate your account at any time from settings
- We may suspend or terminate your account for violation of these Terms, non-payment, or where required by law
- On termination, your data is retained for 30 days then deleted (except where law requires longer retention)
- Sections that by their nature should survive (IP, indemnification, liability, governing law) survive termination
14. Modifications to the Service
We may modify, suspend, or discontinue any part of the Service at any time. We
will give 30 days' advance notice of material changes that adversely affect
existing tenants where reasonably practicable.
15. Governing Law & Dispute Resolution
These Terms are governed by the laws of India. Any dispute arising from or
related to these Terms or the Service is subject to the exclusive jurisdiction
of the courts at Udaipur, Rajasthan. Before filing a lawsuit,
parties agree to attempt good-faith resolution by direct communication for at
least 30 days.
16. Changes to These Terms
We may update these Terms periodically. Material changes will be communicated
by email at least 30 days before they take effect. Continued use of the Service
after changes take effect constitutes acceptance.
